Terms & Conditions
These terms describe the basis on which Reedgrove provides advisory engagements. Please read them before making contact or placing an order. If you have questions about anything in this document, write to us at [email protected] and we will respond clearly.
1. Definitions
The following terms carry specific meanings throughout this document:
- "Reedgrove" / "we" / "us" / "our"
- Reedgrove, a hybrid and remote work advisory operating from Suite 8-12, Plaza Cheras, Jalan Manis 1, 56100 Kuala Lumpur, Malaysia.
- "Client" / "you" / "your"
- Any organisation or individual who engages Reedgrove for advisory services or accesses this website.
- "Services"
- The advisory engagements offered by Reedgrove, as described on this website and in any proposal or scope document agreed with a Client.
- "Deliverable"
- Any written document, note, report, or reference material produced by Reedgrove during an engagement.
- "Agreement"
- The contract formed when a Client accepts a proposal or confirms an engagement in writing, incorporating these Terms & Conditions.
- "Website"
- The Reedgrove website located at https://reedgrove.sbs.
2. Acceptance of Terms
By using this website, submitting an enquiry, or entering into an engagement with Reedgrove, you confirm that you have read and accepted these Terms & Conditions.
- You must be at least 18 years of age and have the legal capacity to enter a binding agreement on behalf of yourself or your organisation.
- If you are engaging on behalf of a company, you represent that you have the authority to bind that company to these terms.
- Continued use of this website or engagement with our services constitutes ongoing acceptance of the current version of these terms.
3. Service Description
Reedgrove provides operational advisory support to Malaysian businesses navigating hybrid and remote working arrangements. Our current services are:
Hybrid Working Rhythm Note — RM 520
A short engagement for Malaysian SMEs reviewing the shape of a typical working week. We produce a written rhythm note with neutral observations on meeting load, written communication patterns, and recurring touchpoints. The note is descriptive only and does not constitute HR advice.
Remote Documentation Workshop — RM 2,200
A three-week engagement helping a team develop clearer written working practices. Includes two facilitated workshops, a written documentation reference, and a closing review with the operations lead. The scope covers general organisational practice and writing education.
Hybrid Operations Advisory Retainer — RM 4,300/month
A nine-month advisory retainer for established firms with a mixed in-office and remote workforce. Covers calendar shape, documentation, and meeting design through monthly written reviews, fortnightly calls, and one in-person workshop per quarter in Kuala Lumpur. This retainer is operational only and does not address employment-law matters.
Services are provided primarily to organisations based in Malaysia. Availability and scope may be adjusted by mutual agreement.
4. Your Responsibilities
To allow engagements to proceed effectively, you agree to:
- Provide accurate, complete, and timely information relevant to the engagement.
- Make appropriate team members available for workshops and review sessions as scheduled.
- Notify Reedgrove promptly if circumstances change in a way that may affect the scope or direction of the engagement.
- Use this website only for lawful purposes and not in a manner that may harm others or disrupt the service.
- Not reproduce or share deliverables outside your organisation without written consent from Reedgrove.
Prohibited uses include, but are not limited to: attempting to gain unauthorised access to our systems, using our content for resale or redistribution, providing false information to obtain services, or using deliverables in a manner inconsistent with their intended operational purpose.
5. Intellectual Property
All content on this website — including text, design, structure, and methodology materials — is the property of Reedgrove and is protected under Malaysian intellectual property law.
- Deliverables: Reedgrove grants you a non-exclusive, non-transferable licence to use deliverables within your organisation for the operational purposes described in the engagement scope.
- Methodology: Our advisory frameworks and approaches remain the property of Reedgrove and may not be reproduced, taught, or commercialised without written permission.
- Website content: You may not copy, publish, or adapt website content without prior written consent.
- Client materials: Any documents or materials you share with us during an engagement remain your property. We will handle them in line with our Privacy Policy.
6. Payment Terms
Currency: All fees are stated and invoiced in Malaysian Ringgit (RM).
Payment methods: We accept bank transfer to the account details provided in your invoice. Other arrangements may be agreed in writing prior to engagement.
Invoicing schedule: The Hybrid Working Rhythm Note and Remote Documentation Workshop are invoiced in full prior to commencement. The Hybrid Operations Advisory Retainer is invoiced monthly at the start of each calendar month.
Payment due date: Invoices are due within 14 calendar days of issue unless a different arrangement has been agreed in writing.
Late payments: Where payment is not received by the due date, Reedgrove reserves the right to pause the engagement until the outstanding amount is settled.
Scope changes: Any agreed expansion of scope will be invoiced separately at a rate documented in a written amendment to the original proposal.
Cancellation and refunds: For fixed-fee engagements, fees paid for work already commenced are non-refundable. Where an engagement has not yet started and a cancellation request is received in writing, we will discuss the appropriate position based on preparation work undertaken. For retainer engagements, either party may end the arrangement at the close of any calendar month with 30 days' written notice.
7. Engagement Terms
Scope of work: Each engagement is defined by a written proposal or scope document exchanged prior to commencement. Work outside the agreed scope requires a written amendment.
Timelines: Indicative timelines are stated in proposals. Where delays arise from the Client side — such as team unavailability or delayed information — we will communicate revised timelines and are not responsible for consequent delays.
Confidentiality: Both parties agree to keep confidential any non-public information shared during the engagement. This obligation continues for two years following the end of the engagement.
Operational scope: All services are operational in nature. Reedgrove does not provide employment law advice, HR policy drafting, legal counsel, or regulatory compliance guidance. Any questions touching those areas should be directed to a qualified professional.
In-person sessions: Where an engagement includes in-person workshops, these are conducted in Kuala Lumpur at a location agreed with the Client. Travel costs for sessions outside the Klang Valley are invoiced separately.
8. Disclaimers
This website and its content are provided for informational purposes and are offered on an "as available" basis. We take care to keep content current and accurate, but we do not represent that it is complete or free from error.
Reedgrove's advisory services reflect professional judgement applied to the information and context provided by the Client. We do not represent that following our observations will produce any particular operational outcome. Organisational change depends on many variables outside our control.
Nothing on this website or within our deliverables constitutes legal, HR, employment, financial, or regulatory advice. It is the Client's responsibility to seek qualified professional input for matters in those areas.
9. Limitation of Liability
To the extent permitted by Malaysian law, Reedgrove's total liability to a Client in connection with any engagement shall not exceed the fees paid by that Client for the specific engagement giving rise to the claim.
Reedgrove shall not be liable for indirect, consequential, or incidental loss, including loss of profits, loss of data, or business interruption, arising from the use of our services or website.
Force majeure: Neither party will be in breach of this agreement for delays or failures caused by circumstances outside their reasonable control, including natural events, infrastructure failures, or public health measures. The affected party should notify the other promptly and both parties will work to find a reasonable way forward.
10. Indemnification
You agree to hold Reedgrove harmless from any claims, losses, or expenses (including reasonable legal costs) arising from your breach of these Terms, your misuse of deliverables, or any inaccurate information you provided during an engagement. This indemnity applies to the extent permitted under Malaysian law and does not limit any statutory rights you may hold as a consumer.
11. Termination
By the Client: You may end a fixed-fee engagement before work has commenced by notifying us in writing. Once work has started, fees for completed work are due and payable. Retainer engagements may be ended with 30 days' written notice at the close of a calendar month.
By Reedgrove: We may end an engagement if a Client breaches these Terms and does not remedy the breach within a reasonable period after written notice. We may also pause or end an engagement where payment is materially overdue.
Effect of termination: On termination, each party will return or destroy the other's confidential materials on request. Clauses relating to intellectual property, confidentiality, payment, indemnification, and limitation of liability survive termination.
12. Dispute Resolution
Governing law: These Terms are governed by the laws of Malaysia, including the Contracts Act 1950 and the Consumer Protection Act 1999 where applicable.
Jurisdiction: Any dispute that cannot be resolved informally will be referred to the courts of Kuala Lumpur, Malaysia.
Informal resolution: Before taking formal steps, both parties agree to make a reasonable effort to resolve disputes through direct discussion. Either party may initiate this by writing to the other outlining the concern. We aim to respond to all written concerns within 10 business days.
Mediation: If informal discussion does not produce a resolution within 30 days, either party may refer the matter to a mutually agreed mediator under the Mediation Act 2012 before commencing court proceedings.
13. General Provisions
Entire agreement: These Terms, together with any written proposal or scope document, form the complete agreement between the parties and replace any prior discussions on the same subject.
Severability: If any provision is found to be unenforceable, the remaining provisions continue in full effect.
Waiver: Choosing not to enforce a provision on one occasion does not waive the right to enforce it on a future occasion.
Assignment: You may not transfer your rights or obligations under these Terms without our written consent. Reedgrove may assign its obligations in connection with a business transfer, provided the incoming party accepts these Terms.
Notices: Formal notices should be sent by email to [email protected] or by post to our registered address. Email notices are considered received on the next business day following sending.
14. Changes to These Terms
We may update these Terms from time to time to reflect changes in our services or applicable law. When we do, the updated version will be published on this page with a revised "Last Updated" date.
For active retainer engagements, we will notify you of material changes by email at least 14 days before they take effect. For all other visitors, continued use of this website or commencement of a new engagement following the updated date constitutes acceptance of the revised Terms.
We encourage you to review this page periodically. If a change is not acceptable to you, please write to us before the effective date.
